Dan Cao is a partner at Merits & Tree. Mr. Cao’s main practice area is equity investment, financing and mergers and acquisitions, involving industries such as biomedicine, semiconductor, consumer, artificial intelligence, TMT, etc. He has assisted financial investment institutions and strategic investors to complete a large number of venture capital and private equity investment projects with different structures, as well as mergers and acquisitions, joint ventures, and various domestic and international exit projects, and assisted many enterprises and founders to complete different rounds of equity financing, transfer and sale, and red chip structure setup and dismantling of the various stages.

 

Mr. Cao has served or is serving well-known investment institutions including Sequoia Capital, Greenwoods Investment, Cowin Capital, YMTC Industrial Fund, Harvest Capital, China Structural Reform Fund, Fosun Capital, Lianhe Capital, Wuhan Optics Valley Industrial Investment, Taiping Qianhai Fund, China-US Green Fund, Maison Capital, KIP, The Arena Capital, Yuanhe Puhua and CICC Hui Rong, etc., and has provided legal services for strategic investors such as Botanee Group, KPC Pharmaceutical, HUPU, and Poizon, etc.; Representative startups that Mr. Cao has served or is serving include Innogen Pharmaceutical, Savelots, Yuwei Optics, Yuan Song Biological, Cygnus Biological, etc.

 

Prior to joining M&T, Mr. Cao was an attorney at Anjie Broad Law Firm.

  • Represented Sequoia Capital in the completion of a multi-million dollar angel round investment in Graviti, a leading artificial intelligence company;
  • Represented Greenwoods Investment in the completion of its Pre-IPO round of investment in Kuaishou Technology.
  • Represented a well-known investment institution in the completion of investment in Bytedance.
  • Represented a local government industrial fund and a large state-owned enterprise in the completion of a large silicon wafer joint venture project with a total investment of billions of RMB.
  • Represented Cowin Capital and KIP in their multi-million RMB Pre-A round investment in Innogen Pharmaceuticals, an international pharmaceutical company dedicated to the research, development and industrialization of biopharmaceuticals for diabetes and metabolic diseases (in connection with the change of control of Innogen Pharmaceuticals).
  • Represented Greenwoods Investment in the completion of its tens of millions of dollars minority acquisition of CITIC Industrial Fund’s holding in Acotec Scientific and its subsequent tens of millions of dollars cornerstone investment in Acotec Scientific.
  • Represented YMTC Capital in the completion of a strategic investment of hundreds of millions of RMB in the initial public offering and listing on the Science and Technology Innovation Board of Maxio Technology.
  • Represented Botanee Group in its successive tens of millions RMB of Series Pre-A and Series A investments in ESTHEBIO, a medical device company focusing on the research, development, production and commercialization of dermal fillers such as child face injections.
  • Represented the Arena Capital in completion of a multi-round investment of hundreds of millions of RMB in SuperMonkey, a leading sports and fitness brand company in China.
  • Represented Yuanhe Puhua in its multi-million RMB of Series A investment in BLUETRUM, a leading domestic integrated circuit design company.
Equity Financing, Red Chip Structure Setup & Dismantling Projects
  • Represented Innogen Pharmaceutical, an international pharmaceutical company dedicated to the R&D and industrialization of biopharmaceuticals for diabetes and metabolic diseases, to complete its US$120 million Series A financing;
  • Represented Cygnus Biological, a high-tech company engaged in the research, development and industrialization of gene sequencer platform, to complete a hundreds of millions of RMB of Series C financing, and assisted it to reach a strategic cooperation with Guangzhou Hi-Tech Industrial Development Zone, in order to realize the gene sequencing results settled in Guangzhou Hi-Tech Industrial Development Zone;
  • Represented RabPharma, an innovative pharmaceutical company dedicated to the independent research, development and industrialization of innovative bone and joint drugs, to complete its tens of millions of RMB of Series A+ financing;
  • Represented JKK Bio, a life sciences company focusing on global innovative technology, strategic investment and commercialization advancement, to complete a multi-million RMB angel round of financing;
  • Represented Savelots, a leading domestic hard discount chain store, to complete a multi-million RMB Pre-A round of financing;
  • Represented Zaowu, a leading domestic model hand puppet trend toy platform, to complete two consecutive tens of millions of RMB angel and Pre-A rounds of financing and assisted Zaowu in the completion of the VIE structure setup.
  • Represented Yuan Song Biological, a company mainly engaged in the research and development of targeted biotherapeutic drugs for cancer, to complete tens of millions of RMB minority equity financing;
  • Represented Qingfeng Technology, a gaming platform company mainly engaged in the product business of Max+, Little Black Box and Little Black Box Accelerator, and its founder to complete the minority share repurchase from the minority investor shareholders of Qingfeng Technology.
